OFFERED ONLY IN THE UNITED STATES AND OPEN ONLY TO LEGAL U.S. RESIDENTS WHO ARE 18 YEARS OF AGE AND OLDER.

A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. ELIGIBILITY: Open to legal U.S. residents who are 18 years of age and older. Employees of Discovery Communications, Inc. (the "Sponsor"), its promotional partner Outback Steakhouse, their subsidiaries, affiliates, sweepstakes administrator, advertising and promotion agencies and members of the immediate families and persons living in the same household of such employees are not eligible. Void in Puerto Rico, Canada and where prohibited.

2. TO ENTER: There are two ways to enter TLC's "Mother's Day" sweepstakes: online and in-store. Online: the online entry period begins at 12:01 AM Eastern Time (ET) on April 1, 2002 and ends at 11:59 PM ET on May 12, 2002. To enter, go to www.discovery.com and click on the TLC logo. Once at the TLC page, click on the "Mother's Day" Sweepstakes button to access the sweepstakes page. Complete the online entry form and submit so that it is received by Sponsor's server by 11:59 PM ET on May 12, 2002. In store: complete an Official Entry Form available at participating Discovery Channel stores from April 1 - May 12, 2002 and place it in the "Mother's Day" Sweepstakes entry box by the close of business on May 12, 2002. No mechanical reproduction of entries permitted. Limit one entry (either email or mail-in) per person per day.

3. PRIZES: On or about May 20, 2002, Promotion Mechanics, Inc., an independent judging organization, will conduct a random drawing from among all eligible entries received to award the following prizes:

(1) Grand Prize: a trip for two to Two Bunch Palms Resort in Desert Hot Springs, California. Prize consists of round trip coach air travel for two from the major commercial airport closest to winner's residence to Palm Springs, CA; double room accommodations for 4 days/3 nights, two spa treatments, basic resort activities and use of a rental car. All other expenses are winner's responsibility. Approximate retail value ("ARV") $3,300. Actual value will be determined by winner's residence and seasonal rates. Travel, accommodations and car rental are subject to availability and certain restrictions. Trip must be taken by May 31, 2003 or prize will be forfeited in its entirety.

(40) First Prizes: $45 in Outback Steakhouse gift certificates.

Winners will be notified by phone, email, postal mail and/or express mail at Sponsor's sole discretion. Odds of winning will be determined by the number of eligible entries received, which is estimated at 50,000.

4. GENERAL: Taxes on prizes and all expenses related to acceptance and use of prizes and not specified are the sole responsibility of winners.

By participating, entrants agree:

[a] to these rules and decisions of Sponsor and judges, which shall be final in all respects relating to this sweepstakes;

[b] to release, discharge and hold harmless Sponsor, Outback Steakhouse, their affiliates, subsidiaries, advertising and promotion agencies, agents and representatives and their respective officers, directors and employees from any and all injuries, liability, losses and damages of any kind resulting from their participation in the sweepstakes or their acceptance, use or misuse of a prize; and if a winner,

[c] to the use of his or her name and/or photograph for advertising, publicity and promotional purposes in all media, including but not limited to on air and within www.discovery.com, without compensation (unless prohibited by law) and agree to execute specific consent to such use upon request.

Grand Prize winner will be required to complete an affidavit of eligibility, a liability release and (where legal) a publicity release, which must be returned within seven (7) days of attempted notification or an alternate winner may be selected. If the Grand Prize winner is not of the age of majority in state of residence (i.e. states where age of majority is higher than 18), prize will be awarded in the name of parent or legal guardian who will be required to sign all necessary affidavits and releases. Travel companion, or parent/legal guardian of travel companion if companion is a minor, must complete a liability/publicity release prior to issuance of travel documents. Sponsor, its affiliates, subsidiaries, advertising and promotion agencies, agents and representatives and their respective officers, directors and employees are not responsible for and shall not be liable for

[a] any telecast malfunctions, human error, satellite transmission failures, or delayed telecasts or preemption of or the failure of a cable affiliate to televise TLC® or any affiliated network in all or any parts of the United States;

[b] electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind, including without limitation, server malfunction or by any human error which may occur in the processing of entries or any injury or damage to an entrant's or third person's computer and/or its contents, related to or resulting from the sweepstakes;

[c] failed, incomplete, garbled or delayed computer transmissions;

[d] lost, late, misdirected, incomplete or postage-due entries or mail; or

[e] any condition caused by events beyond the control of the Sponsor that may cause the sweepstakes to be disrupted or corrupted.

Sponsor reserves the right in its sole discretion to cancel, modify or suspend the sweepstakes or any portion thereof should virus, bugs or other causes beyond the control of Sponsor corrupt the administration, security or proper play of the promotion. All federal, state and local regulations apply. One prize per household.

5. ENTRY INFORMATION: By entering this sweepstakes, you agree that we may share your entry information (including your name, address, email address, etc.) with our promotional partners and other parties.

6. WINNER LIST: For a list of winners, mail a self-addressed, stamped envelope to be received by June 30, 2002 to: TLC's "Mother's Day" Winners, PMI Station, PO Box 750, Southbury, CT 06488-0750.
