1. HOW TO ENTER: NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. The "Ready Set Win" Sweepstakes ("Sweepstakes") starts at 12:00 PM (Noon) Eastern Time ("ET") on 08/01/05 and ends at 11:59 AM ET on 09/05/05 (the "Entry Period"). There are three ways to enter:

(1) OFFICIAL ENTRY FORM: Complete the official entry form available at participating Discovery Channel Stores while supplies last, and place in the ballot box at participating Discovery Channel Stores. All ballot box entries must be deposited in the ballot box by end of business on 09/05/05. No copies or mechanical reproductions of entries are permitted.

(2) MAIL-IN: Hand-print in ink your full name, complete home address (including zip code), home telephone number (including area code), date of birth, e-mail address (optional) on a 3" X 5" piece of paper and mail in a stamped envelope to: "Ready Set Win Sweepstakes", PO Box 2007, Grand Rapids, MN, 55745-2007. Mail-in entries must be postmarked by 09/05/05 and received by 09/12/05. Enter as often as you wish via method #1 and #2, however each mail-in entry must be mailed separately.

(3) ONLINE: Go online during the Entry Period to www.ReadySetLearn.com and click on the "Ready Set Win Sweepstakes" link. Follow the instructions provided to submit your full name, complete home address (including zip code), home telephone number (including area code), e-mail address, date of birth and any optional questions. Online entries must be received by 11:59 AM ET on 09/05/05. Online entries are limited to one per person/e-mail address per day. Multiple online entries from any person/e-mail address on any given day will be void.

Proof of mailing/online entry submission does not constitute proof of delivery or receipt. Discovery Communications ("Sponsor"), EastWest Creative, and their respective parent companies, affiliates, subsidiaries, divisions, and advertising and promotion agencies, and all of their respective employees, officers, directors, shareholders, and agents (collectively, "Released Parties") assume no responsibility for lost, misdirected, incomplete, inaccurate, illegible, delayed, undelivered, garbled, postage-due or late entries, lost or stolen ballot boxes, or for entries that fail to enter into the Sponsor's processing system, or that are processed, reported, or transmitted late or incorrectly or are lost or misdirected for any reason nor for any other error of any kind, including computer, network, telephone, paper transfer, printing, typographical, human or other error, that may occur in connection with this Sweepstakes, including, without limitation, errors which may occur in the administration of the Sweepstakes, the processing of the entries in this Sweepstakes, the announcement of the prizes or in any Sweepstakes-related materials; or for the inability to access any Web site associated with the Sweepstakes. Entries void if printed by machine, or otherwise mechanically reproduced or generated by script, macro or other automated means. All entries become the property of the Sponsor and will not be returned. Sponsor will not acknowledge receipt of entries.

2. PRIZE STRUCTURE / ODDS OF WINNING: Grand Prize (1): Grand Prize winner will receive a $25,000 education contribution to a 529 account (Approximate Retail Value ("ARV"): $25,000). If a Section 529 account has previously been established for the benefit of the winner, then the funds may, at the election of the winner, be deposited directly into that previously established Section 529 account. If there is no previously established Section 529 account for the benefit of the winner or if the winner elects to not have funds deposited in a previously established Section 529 account, then the funds will be deposited directly into a Section 529 account established by the Sponsor (with a provider chosen by Sponsor) in the name of the winner. Prize will be subject to all conditions and restrictions of such Section 529 plan, whether established previously by winner or established by Sponsor. Additional restrictions may apply. First Prizes (25): First Prize winners will each receive a Ready Set Learn Play Pack (ARV: $100 each). The total ARV of all prizes is $27,500. All federal, state and local taxes and any other costs and expenses associated with the acceptance and use of a prize not specified herein as being awarded are the sole responsibility of winners. Odds of winning depend on the number of eligible entries received. Prizes may not be substituted, transferred or redeemed for cash, except by Sponsor, who reserves the right to substitute a prize with one of comparable or greater value, at its sole discretion. Prizes will be awarded "as is" with no warranty or guarantee, either express or implied. All prize details are at Sponsor's sole discretion.

3. PRIZE DRAWING: Potential winners will be selected in a random drawing on or about 10/03/05 from among all eligible entries received. The drawing will be conducted by an independent judging agency, whose decisions are final and binding.

4. ELIGIBILITY: Sweepstakes is open to individuals who are legal residents of the 50 United States and the District of Columbia, 18 years of age or older. VOID OUTSIDE THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA, AND WHERE PROHIBITED BY APPLICABLE FEDERAL, STATE OR LOCAL LAWS OR REGULATIONS. Employees, and their immediate families (spouse, parents, children, siblings, and their respective spouses) and household members of Sponsor, EastWest Creative, and their respective parent companies, affiliates, subsidiaries, franchisees, partners, retailers, advertising and promotion agencies, or any other individual or company involved in the development or execution of the Sweepstakes are not eligible to enter or win. Sweepstakes subject to applicable federal, state, and local laws. By participating, you agree to be bound by these Official Rules and to the decisions of the Sponsor and independent judges which are final and binding.

5. WINNER NOTIFICATION: Potential winners will be contacted by phone and/or mail. Potential Grand Prize winner will be required to sign and return to Sponsor an affidavit of eligibility and liability release, applicable tax releases and publicity release (unless prohibited) within fourteen (14) days of issuance. If potential Grand Prize winner fails to return the properly signed affidavit and releases or other prize documentation within the specified time period, or chooses to decline a prize for any reason, or fails to comply with any other requirements, the prize may be forfeited and, at Sponsor's discretion, an alternate winner may be selected. Noncompliance with these Official Rules, return of any prize/prize notification as undeliverable, or inability of Sponsor to contact a potential winner may result in disqualification and, at Sponsor's discretion, selection of an alternate winner. Acceptance of a prize constitutes permission for Sponsor and its designees to use each winner's name, city and state of residence and likeness for advertising, promotional and other purposes in any and all media now or hereafter known throughout the world in perpetuity, without compensation, notification or permission, unless otherwise prohibited by law.

6. LIMITATION OF LIABILITY: The Released Parties assume no responsibility for any injury or damage to participants or to any other person's computer (including hardware or software) relating from entering or downloading materials or software in connection with this Sweepstakes. By entering the Sweepstakes, all entrants release Released Parties from any liability whatsoever for any claims, costs, injuries, liability, losses, actions, or damages of any kind (including, without limitation, related to personal injury, death, damage to property, infringement of proprietary rights, rights of publicity or privacy or defamation) arising out of or in connection with: (1) entering the Sweepstakes; (2) acceptance or use of any prize; or (3) anything related to the Sweepstakes, whether under a theory of contract, warranty, tort (including negligence, whether active, passive, or imputed), strict liability, product liability, contribution, or any other theory. If for any reason this Sweepstakes is not capable of running as planned, Sponsor in its sole discretion, may disqualify any individual, and/or terminate, modify or suspend this Sweepstakes or any portion thereof. In such case, Sponsor may, at its discretion, conduct a random drawing to award prizes from among all eligible, non-suspect entries received for the drawing prior to the time of the action or event warranting such cancellation. In the event of a dispute as to the identity of an online entrant, entrant will be deemed the "registered subscriber" of the e-mail account at issue. The "registered subscriber" shall be deemed the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

7. WINNERS LIST: For the names of the winners, available after 12/02/05, send a self-addressed, stamped envelope to: "Ready Set Win Sweepstakes" Winners, 401 Fifth Avenue, 4th Floor, New York, NY 10016. Requests must be received by 01/02/06.
